Terms of Service

This is a plain-language policy for a new product and is provided for transparency; it is not legal advice and does not create an attorney-client relationship.
1. Introduction
These Terms of Service (“Terms”) are entered into between you and Sanket Bodhare, d/b/a DocuWright (“DocuWright,” “Company,” “we,” “our,” or “us”). They govern your access to and use of docuwright.com and the DocuWright document-automation service, including all content, functionality, and features offered on or through it (the “Service”), whether you use it as a guest or a registered user. We aim to keep these Terms readable, though some language is necessarily formal for legal reasons.
2. Your Acceptance of These Terms
Please read these Terms carefully before you start to use the Service. By using the Service, or by clicking to accept these Terms where that option is presented, you accept and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, you must not access or use the Service. You represent that you are of the legal age of majority to form a binding contract with us. If you access the Service from a jurisdiction where it is not permitted, you do so at your own risk.
3. Updates to These Terms
We may revise and update these Terms from time to time in our sole discretion. Changes are effective when we post them and apply to your use of the Service thereafter. Your continued use of the Service after we post revised Terms means you accept the changes. Material changes may also be communicated to account holders.
4. Not Legal Advice; Attorney Responsibility
This is the most important section for how DocuWright works. Please read it carefully.
- DocuWright is software, not a law firm. DocuWright is document-automation software. It does not provide legal advice, does not practice law, and does not create an attorney-client relationship with you, your firm, or your clients.
- The AI restructures; it does not author. The AI restructures your own existing language into reusable templates with fill-in fields, conditional sections, and repeating sections. It does not write, draft, suggest, or invent legal language, and it flags sections it cannot confidently map for your review rather than guessing.
- You review and approve everything. You, the licensed attorney, are solely responsible for reviewing, verifying, and approving every template and every generated document before use. DocuWright makes no representation that any output is legally sufficient, accurate, or fit for any purpose; that professional judgment is yours.
- We are not responsible for your documents. DocuWright is not responsible for the legal validity or consequences of documents produced using the Service.
5. Your Account and Responsibilities
Using the Service requires registration. You agree that the information you provide is correct, current, and complete, and that you will keep it up to date. Any credentials you use must be treated as confidential and not disclosed to others. You agree to notify us immediately of any unauthorized access to or use of your account, and to log out at the end of each session. You are responsible for all activity under your account and for your own computer, internet, and data security. You are also responsible for ensuring that everyone who accesses the Service through your account is aware of and complies with these Terms.
6. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable federal, state, local, or international law or regulation;
- Upload content you do not have the right to use, or content that infringes the rights of others;
- Impersonate DocuWright, our staff, another user, or any other person or entity, or misrepresent your affiliation;
- Transmit any advertising or promotional material, such as junk mail, chain letters, or spam;
- Introduce any viruses, Trojan horses, worms, or other material that is malicious or technologically harmful;
- Use any robot, spider, scraper, or other automated means to access the Service other than as we expressly permit, or use any manual process to copy material on the Service without our prior written consent;
- Disable, overburden, damage, or impair the Service, or attempt to gain unauthorized access to it or to any server, computer, or database connected to it;
- Attack the Service through a denial-of-service or distributed denial-of-service attack, or otherwise interfere with its proper working;
- Engage in any conduct that restricts or inhibits anyone's use of the Service, or that may harm DocuWright or its users or expose them to liability.
7. Our Intellectual Property
The Service and its contents, features, and functionality (including software, text, displays, and the design, selection, and arrangement of them) are owned by DocuWright, its licensors, or other providers of such material and are protected by United States and international intellectual property laws. This section covers our own material; it does not apply to Firm Content, which is addressed in Section 8. We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your law practice in accordance with these Terms. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, or transmit any of our material except as incidental to normal use of the Service. All rights not expressly granted are reserved by DocuWright.
8. Your Content and Confidentiality
This section replaces any general user-content license you may expect from a standard terms-of-service template. It is written specifically for how DocuWright handles a law firm's documents and client data.
- You own your content.The firm retains full ownership of all documents it uploads and all client intake data (together, “Firm Content”). We do not claim any ownership of Firm Content.
- Firm Content is confidential.DocuWright does not publish, sell, share, or use Firm Content except as necessary to provide the Service to that firm, namely storing it, building that firm's templates, and generating that firm's documents.
- The license you grant us is narrow.You grant us only the limited license needed to operate the Service for your firm: to store, process, and display Firm Content back to your firm and its authorized users, and to transmit documents to our AI subprocessor solely to build your firm's templates. Nothing broader. We do not receive any right to publish, distribute, display publicly, or commercially exploit Firm Content.
- We do not train AI models on Firm Content. We do not use Firm Content to train, fine-tune, or improve any AI models.
- You are responsible for your content. The attorney is responsible for the content of the documents uploaded and for having the right to upload them, and for having obtained any consents required by law for the data they contain.
9. Our Rights
Without providing notice, we have the right to take any action we reasonably deem necessary or appropriate if we believe your use of the Service violates these Terms, infringes the rights of any person, threatens the safety of users or the public, or could create liability for DocuWright. This includes taking appropriate legal action and cooperating with law enforcement, and terminating or suspending your access to all or part of the Service for any violation of these Terms. You waive and hold harmless DocuWright and its affiliates and their respective personnel from any claims resulting from actions taken during or as a consequence of investigations by us or by law enforcement authorities. This section does not permit us to use or disclose Firm Content beyond what Section 8 allows.
10. Third-Party Links and Content
The Service may contain links to third-party sites or content for your convenience. We make no representations about, and are not responsible for, those sites or content. If you choose to access them, you do so at your own risk and subject to their terms.
11. Payment and Fees
DocuWright is a paid subscription service. We accept card payments through Dodo Payments, which acts as merchant of record for your subscription. We do not guarantee the availability of any particular payment method and may add, remove, or suspend a method at our discretion. You agree to provide current, complete, and accurate billing information, and to keep it up to date, including your payment method and card expiration date. All payments are in USD. Applicable taxes may be added. We may change prices at any time; any change applies to future billing periods.
Your subscription is a recurring charge. You must keep a valid payment method on file, and you authorize us and Dodo Payments to charge that method for the recurring subscription fees until you cancel, without requiring your prior approval for each charge. We reserve the right to correct pricing errors even after payment, and to refuse any order.
12. Free Trial
We offer a 14-day free trial that requires a valid payment method up front. Unless you cancel before the trial ends, your first payment will be charged to your payment method when the trial expires, and your paid subscription will begin automatically. You may not receive a separate notice that the trial is about to end or that your paid subscription has begun. We determine eligibility for trials in our discretion and may limit trials to prevent abuse.
13. Cancellation and Refunds
You can cancel your subscription at any time from your account or by contacting us. Your cancellation takes effect at the end of the current billing period, and you keep access through that period. Except as described on our Refunds page or as required by applicable law, subscription fees are non-refundable and confer only a non-exclusive, revocable, non-transferable right to use the Service. You may not transfer, sell, or trade your subscription, and any attempted transfer is void.
14. Disclaimers
YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. THE SERVICE AND ALL CONTENT AND FEATURES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE OR ITS OUTPUT WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. Because you review and approve all output, you remain responsible for the documents you produce and deliver.
15. Limitation of Liability
EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT WILL DOCUWRIGHT OR ITS AFFILIATES OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
16. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless DocuWright and its affiliates and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms or your use of the Service, including the documents you create with it.
17. Dispute Resolution
At DocuWright's sole discretion, we may require you to submit any dispute arising from these Terms or your use of the Service, including disputes concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration seated in India, conducted under applicable Indian arbitration rules. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, IT IS PERMANENTLY BARRED.
18. Governing Law
These Terms and the Service are governed by and construed in accordance with the laws of India, and specifically the State of Maharashtra, without giving effect to any choice or conflict of law provision. Subject to the Dispute Resolution section above, any action or proceeding arising out of or relating to these Terms will be instituted in the courts located in Maharashtra, India, and you irrevocably submit to the exclusive jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
19. Severability
If any provision of these Terms is held illegal or unenforceable, that provision will be modified to achieve as closely as possible its intended effect, and the remaining provisions will continue in full force and effect.
20. Waiver
No failure or delay by either party in exercising any right under these Terms operates as a waiver of that right, and no single or partial exercise of any right precludes any further exercise of it or of any other right.
21. Entire Agreement
These Terms, together with our Privacy Policy and Refunds page, constitute the entire agreement between you and DocuWright regarding the Service and supersede all prior agreements and understandings on that subject. No variation of these Terms is effective unless in writing and signed by or on behalf of DocuWright.
22. Notice
We may provide notice to you under these Terms by sending a message to the email address associated with your account or by posting to the Service. Notices sent by email are effective when sent, and notices posted to the Service are effective upon posting. It is your responsibility to keep your email address current.
